Sales Assembly AI Architecture Lab Agreement Terms

This Participation Agreement (“Agreement”) is between Sales Assembly, LLC (“Sales Assembly”) and the client (“Client”) for the purpose of Client’s participation in Sales Assembly’s Lab (“Program”). This Agreement governs Client’s enrollment, participation, and rights related to the Program, which is a distinct offering from Sales Assembly’s standard membership.

1. Program Description

The Program is a fixed-term, cohort-based program consisting of live virtual sessions + possibly async resources delivered over approximately three months. The Program is designed to equip participants with the knowledge, frameworks, and resources to align with the objectives of the specific lab signed up for. Sales Assembly reserves the right to make adjustments to the Program content and schedule to ensure optimal participant experience.

2. Fees & Payment

The total Program fee is payable upon execution of this Agreement unless otherwise agreed in writing. Fees are non-refundable except in the event Sales Assembly cancels the Program in its entirety. Client may transfer a purchased seats to another qualified participant within their organization prior to the start of the Program. Payment must be received by Sales Assembly prior to Client receiving access to any events, sessions or resources.

3. Intellectual Property & Usage Rights

All Program materials, frameworks, recordings, and related content (“Materials”) are and shall remain the intellectual property of Sales Assembly and/or its facilitators / partners. Client is granted a non-exclusive, non-transferable license to use the Materials internally within its organization. Client may not reproduce, distribute, or share the Materials outside of its organization without prior written consent from Sales Assembly.

4. Participant Responsibilities

Client shall ensure that participants attend live sessions, actively engage, and adhere to professional conduct. Sales Assembly reserves the right to remove any participant whose behavior disrupts the Program or violates this Agreement.

5. No Guarantees

The Program is provided for educational purposes only. Sales Assembly makes no guarantees regarding specific results or business outcomes. The Program does not constitute professional consulting, legal, or financial advice.

6. Privacy & Terms of Use

Client’s participation in the Program is subject to Sales Assembly’s Terms of Use and Privacy Policy, both available at www.salesassembly.com. By executing this Agreement, Client acknowledges and agrees to these terms.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive business information disclosed during the Program. This obligation survives the termination of this Agreement.

8. Termination

Either party may terminate this Agreement for material breach upon written notice if such breach is not cured within ten (10) days. Sales Assembly may remove a participant without refund for violation of Program rules or professional conduct.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Cook County, Illinois.
